Contracts
Every obligation consists of giving, doing, or not doing something. The Civil Code establishes the sources of obligations in Puerto Rico, namely: the law, contracts, quasi-contracts, and unlawful acts or omissions involving any kind of fault or negligence.
Obligations arising from contracts have the force of law between the contracting parties.

A person harmed by a breach of obligation generally has the right to demand termination or return to the condition prior to the contract, or has the right to demand specific performance. A person who breaches an obligation or who acts with fraud, negligence, or delay in performing an obligation has the duty to compensate the other contracting party.

Stability in contracting and the fulfillment of obligations is essential for legal and economic security. Personal or business success may depend on a well-drafted contract.
The Emmanuelli Law Firm has the knowledge and experience to advise, negotiate, draft, and litigate contract disputes.
